NSE is launching a ₹22,561 crore initial public offering through an offer for sale. The exchange will not receive proceeds. The price band is ₹1,700 to ₹1,785 per share. At the upper end, valuation stands near ₹4.42 lakh crore. The issue opens on 17 September and closes on 21 September with listing expected on 24 September.

The red herring prospectus highlights five critical risks. First, NSE depends heavily on trading volumes. Any decline in transactions can directly reduce revenue. Second, revenue concentration is high. Nearly 79% of operating income comes from transaction charges, with options trading contributing over 60%. This makes earnings sensitive to market activity. Third, regulatory oversight remains intense. Past penalties and warnings from SEBI underline governance and technology risks. Future regulatory changes in derivatives could affect profitability. Fourth, trading member concentration is significant. A limited number of members dominate volumes, creating dependency risks if participation shifts. Fifth, operational and technology risks persist. System outages, cybersecurity threats and infrastructure challenges could disrupt services.

NSE enjoys unmatched dominance in equity and derivatives markets. However, earnings concentration and regulatory exposure pose real challenges. Investors should weigh attractive valuation against these vulnerabilities before subscribing. Careful consideration of risk factors is essential for informed decision making.
