SEBI has decided to continue its relaxation that allows companies planning initial public offerings to revise the size of their fresh issue by up to 50% without filing new draft documents. This extension will remain valid until March 31, 2027. The move is aimed at giving issuers more flexibility in uncertain and volatile market conditions. Companies can increase or decrease their issue size within the permitted limit, provided the main objective of the issue remains unchanged. Lead managers are required to file updated offer documents and provide clear justification for the changes. Any revisions must also be disclosed to the public through addendums.
The relaxation was first introduced during the West Asia war and had expired on September 30, 2026. Following requests from the Association of Investment Bankers of India, SEBI extended the rule to ease procedural hurdles faced by issuers and bankers. The decision is expected to improve efficiency in capital raising and reduce delays in the IPO process.
In September 2026 alone, thirty four companies raised ₹39,380 crore, accounting for forty two percent of funds mobilised in FY27. Overall, seventy eight companies raised ₹94,276 crore till September. The NSE IPO was the largest of FY27 and the second biggest in Indian market history.
